Terms of Service
1. Acceptance of Terms
By accessing or using the ObserveReport platform, you agree to these Terms of Service. If you do not agree, you may not use the platform. Access is granted by the security company (your "Company") that provides your account; individual sign-up is not available to the general public. If you use the platform on behalf of a Company, you represent that you are authorized to bind that Company to these terms.
2. Description of Service
ObserveReport is a security-workforce management platform providing shift scheduling, GPS-verified clock-in/out, site tours and checkpoint scans, incident and activity reporting, and communications between security personnel and their clients. The platform is operated by BAH Ventures LLC, a Nevada limited liability company doing business as ObserveReport ("BAH Ventures LLC," "ObserveReport," "we," "us," or "our"), and made available to authorized users of subscribing Companies only.
3. User Accounts
Accounts are created and managed by your Company's administrators. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify your administrator immediately of any suspected unauthorized access. ObserveReport is not liable for loss arising from your failure to safeguard your credentials.
4. Location Data and Monitoring
Clocking in, completing checkpoints, and filing location-tagged reports require access to your device's precise GPS location. By using these features, you consent to the collection and storage of your location data as described in our Privacy Policy. Location is collected only in connection with work activity and not in the background.
Your Company and its authorized clients may review GPS clock-in/out coordinates as part of normal workforce management. If you are a Company, you are responsible for ensuring you have any required notices, consents, and legal basis to use these monitoring features with your personnel under applicable employment and privacy laws.
5. Notifications
By enabling notifications, you consent to receive operational email and/or push messages from ObserveReport relating to your shifts, tours, and reports. You may opt out at any time in your account or device settings.
6. Acceptable Use
You agree to use the platform only for its intended purpose and in accordance with applicable laws and your organization's policies. You agree not to:
- Submit false clock-in, clock-out, or location data
- File inaccurate or misleading reports
- Access data belonging to sites, personnel, or companies you are not authorized to access
- Reverse-engineer, scrape, overload, or disrupt the platform, or probe its security without authorization
- Use the platform in any way that violates applicable law, including private-security, labor, and privacy regulations
7. Customer Data and Accuracy of Records
As between the Company and ObserveReport, the Company owns the data it and its users submit ("Customer Data"). ObserveReport is granted the limited rights needed to host, process, and display Customer Data to provide the service.
Shift records, tour logs, and reports may be used for payroll, client billing, compliance, and legal purposes. You are responsible for the accuracy of information you submit. Submitting false records may constitute grounds for disciplinary action or termination under your employment or service agreement.
8. Customer Compliance Responsibilities
The Company subscribing to ObserveReport (the "Customer") is the employer of the personnel whose data is processed and is solely responsible for lawful use of the platform. Without limiting the Terms, the Customer is responsible for:
- Employee notice and consent. Providing any notice, and obtaining any consent, required by applicable law before enabling GPS clock-in verification, background location, photo capture, or any other monitoring feature. Requirements vary by state, and some states impose specific rules on electronic monitoring of employees.
- Wage and hour compliance. Configuring overtime rules, pay periods, break tracking, and time-off policies to match the law of every state in which its personnel work. State overtime presets provided in the platform are conveniences based on our reading of publicly available law as of the date shown, are not legal advice, and must be verified by the Customer against current statutes and the Customer's own circumstances (including collective bargaining agreements and written schedule agreements). The Customer remains solely responsible for the accuracy of pay.
- Records and retention. Determining what records must be kept, for how long, and producing them when legally required. Direct messages, reports, audit logs, and timesheets are Customer records.
- Access control. Assigning administrator roles and permissions appropriately, and promptly deactivating personnel who leave.
ObserveReport provides software. It does not provide legal, payroll, tax, or human-resources advice, and no feature, template, preset, or document in the platform constitutes such advice. The Customer should consult qualified counsel about its obligations in each state where it operates.
9. Intellectual Property
The ObserveReport platform, including its software, design, and content, is the property of BAH Ventures LLC (dba ObserveReport) and its licensors. You are granted a limited, non-exclusive, non-transferable license to use the platform for your authorized work purposes only. You may not copy, modify, distribute, resell, or sublicense any part of it without written permission.
10. Disclaimers and Limitation of Liability
The platform is provided "as is" and "as available." ObserveReport makes no warranties, express or implied, regarding reliability, availability, or fitness for any particular purpose. ObserveReport is a management and record-keeping tool; it is not a guarantee of physical security, guard performance, or safety outcomes, and does not replace your own security procedures and supervision.
To the fullest extent permitted by law, ObserveReport shall not be liable for any indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data. ObserveReport's total liability for any claim will not exceed the amounts paid to ObserveReport in the twelve months before the event giving rise to the claim (or, for free-tier use, one hundred U.S. dollars).
11. Termination
Access may be suspended or terminated by an administrator or by ObserveReport for material breach. Upon termination, credentials are deactivated and Customer Data will be made available for export for a reasonable period before deletion, except where retention is required by law.
12. Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-law provisions. The exclusive venue for disputes shall be the state and federal courts located in Clark County, Nevada, unless a separate written agreement states otherwise.
13. Changes to Terms
We may update these Terms from time to time. We will revise the "Last updated" date and, for material changes, provide additional notice. Continued use after changes take effect constitutes acceptance.
